Terms and Conditions of Sale

TERMS AND CONDITIONS

1. Acceptance of Terms

By accessing this website, placing an order, accepting a quotation or proforma invoice, making payment, receiving delivery, installing machinery, or using any machinery, the customer agrees to be legally bound by these Terms and Conditions.

Purchase, payment, delivery, installation, or use of machinery shall constitute full and final acceptance of these terms.

If the customer does not agree with these Terms and Conditions, the customer must not purchase or use the machinery.

2. Nature of Sale

All machinery is sold strictly on a commercial and industrial basis and is manufactured as per customer requirements and specifications.

Goods once sold shall not be returned, exchanged, or cancelled.

Orders once confirmed cannot be cancelled.

All transactions are treated as business-to-business commercial transactions.

3. Custom Manufacturing and Non-Refundable Advance

All machinery is custom manufactured and made to order.

Advance payment is used for procurement of raw material, labour, production planning, and manufacturing.

Therefore:
• advance payment is strictly non-refundable
• cancellation after order confirmation is not allowed
• advance shall be treated as production and administrative cost

In case of cancellation by the customer, advance amount shall not be refunded under any circumstances.

4. Balance Payment and Forfeiture

Once the machine is ready and the customer is informed:
• balance payment must be cleared within 30 days
• delivery must be taken within 30 days

If balance payment is not cleared within 30 days:
• order shall be treated as abandoned
• advance amount shall stand forfeited
• supplier may resell or dispose of the machine
• supplier shall not be liable for any loss

The forfeited amount shall be treated as:
• production cost
• storage cost
• administrative expenses
• working capital blockage
• business loss

If customer later requests the same machine:
• new order shall be treated as a fresh order
• new market rates shall apply
• storage and damage charges may apply
• supplier reserves the right to accept or reject the order

All machines are properly packed and inspected before dispatch. Client inspection (physical or video call or images) is considered final approval of machine condition and packing quality. Once approved and dispatched, responsibility for storage, transportation delay, and environmental exposure transfers to the client.

If the client delays delivery due to non-payment of balance amount, transportation charges, or any other dues, the company shall not be responsible for any rust, moisture effect, minor surface damage, or deterioration caused due to storage, weather conditions, or delayed lifting of goods. Such rust or moisture impact shall be treated as superficial and does not affect machine functionality or performance, and shall not be considered a defect or ground for rejection, replacement, return, or refund.

If the client fails to clear balance payment or transportation charges within 30 days after machine readiness or dispatch, the advance amount shall be considered non-refundable and forfeited, as machines are custom manufactured. Any re-dispatch or future delivery request shall be treated as a fresh order and subject to new pricing, storage charges, damage recovery, transportation charges, and revised commercial terms.

The company shall not be liable for losses, damages, corrosion, storage issues, or transportation delays caused due to client’s failure to make timely payment or arrange delivery.

These terms shall be final and binding and applicable to all invoices, quotations, and commercial transactions issued on or after 1 April 2023.

5. Applicability of Terms

These Terms and Conditions apply to:
• all invoices
• all quotations
• all proforma invoices
• all deliveries
• all installations
• all commercial transactions

issued on or after 1 April 2023.

All customers purchasing machinery after this date shall be deemed to have accepted these terms through payment, delivery, installation, or usage.

Website Terms and Conditions shall form part of every commercial transaction.

6. No Explicit Warranty

All machinery is supplied on an “as-is” and “as available” basis.

No explicit or implied warranty is provided unless clearly mentioned in writing on the final invoice or signed agreement.

Supplier does not provide:
• performance warranty
• production guarantee
• output guarantee
• business guarantee
• profit guarantee
• fitness guarantee

Only written terms on invoice and website shall apply.

No verbal commitment or third-party promise shall be binding.

7. Installation and Intended Purpose Proof

Installation shall be carried out after site readiness by the customer.

After installation and trial:
• video recording
• installation report
• trial confirmation
• or written acceptance

shall be treated as final and conclusive proof that the machine is working for its intended purpose.

After installation confirmation, the machine shall be treated as accepted and satisfactory.

No performance or functionality claim shall be entertained after installation confirmation.

8. Installation Conditions

Customer must provide:
• proper electrical supply
• proper voltage
• trained operator
• raw material
• installation space
• labour and support staff
• safety environment

If proper conditions are not provided, installation may be postponed or stopped.

If proper conditions are not arranged within 30 days of delivery, installation obligation shall lapse and future installation shall be chargeable.

Supplier shall not be responsible for delays caused by site conditions.

9. Operator Requirement

A trained and competent operator must be present at the time of installation and operation.

If proper operator is not available:
• installation may be refused
• trial may be stopped
• performance claims shall not apply

Any issue arising due to operator shall not be considered a manufacturing defect.

10. Consumables and Wear and Tear

The following items are classified as consumables and wear-and-tear components and are not covered under warranty or performance claims:
• flute rolls
• rubber rolls
• lamination rolls
• shafts
• motors
• heaters
• adaptors
• fingers
• carbons
• heating rods
• gears
• belts
• bearings
• wiring
• electrical components
• rollers
• cutters
• switches
• contactors
• relays
• and similar components

Failure due to usage, friction, heat, load, or environment shall not be treated as a defect.

Replacement shall be chargeable.

11. Operator Negligence and Maintenance

Supplier shall not be responsible for damage caused due to:
• lack of oiling or greasing
• improper maintenance
• overloading
• improper voltage
• misuse
• negligence
• operator accident
• poor handling

All claims shall stand forfeited in such cases.

12. Alteration or Tampering

If the customer modifies, alters, tampers with, or installs third-party components in the machine:
• service obligations shall stop
• warranty claims shall end
• supplier shall not be liable

Repairs shall be chargeable.

13. 30-Day Acceptance Rule

If no written complaint is made within 30 days of installation or delivery:
• machine shall be treated as accepted
• machine shall be considered working properly
• intended purpose shall be considered satisfied

Complaints after 30 days shall not be treated as manufacturing defects.

14. Middleman or Third Party

Supplier shall not be responsible for promises made by:
• dealers
• brokers
• agents
• consultants
• intermediaries

Only written terms on invoice and website shall apply.

15. Service and Support

Service shall be provided on commercial and reasonable basis.

Supplier reserves the right to refuse service in case of:
• abuse
• threats
• harassment
• non-cooperation
• non-payment

Service visits and repairs may be chargeable.

16. Payment Terms

Payment must be cleared as per invoice terms.

Delay in payment may result in:
• stoppage of service
• legal recovery
• interest charges
• suspension of support

Ownership of machinery remains with supplier until full payment is received.

17. Limitation of Liability

Supplier shall not be liable for:
• production loss
• business loss
• labour loss
• raw material loss
• downtime
• profit loss
• indirect damages
• consequential damages

Maximum liability shall be limited to the invoice value of the machinery.

18. Force Majeure

Supplier shall not be responsible for delays due to:
• natural disasters
• transport issues
• government restrictions
• strikes
• war
• pandemic
• supply chain disruptions

Timelines may change accordingly.

19. Website Terms are Final

Website terms, invoice terms, quotation terms, and installation documents shall be final and binding.

Customer agrees that website terms apply to all transactions.

20. Dispute Resolution

All disputes shall be resolved through mutual discussion.

If unresolved, legal action may be taken.

All disputes shall be subject to Punjab jurisdiction only.

Courts in Punjab shall have exclusive jurisdiction.

21. Legal Validity

These Terms and Conditions are governed by Indian laws including:
• Indian Contract Act
• Sale of Goods Act
• Commercial laws of India

If any clause is held invalid, remaining clauses shall remain enforceable.

22. Final Acceptance

Purchase, payment, delivery, installation, or usage of machinery shall mean:
• customer has read the Terms and Conditions
• customer has understood the Terms and Conditions
• customer has accepted the Terms and Conditions
• customer agrees to be legally bound

These Terms and Conditions form a binding commercial agreement.

Detailed Terms and Conditions available on website form an integral part of this invoice and are deemed accepted by the buyer.
