Terms and Conditions of Sale (Industrial Machinery)
1. Introduction and Acceptance
These Terms and Conditions govern the sale, supply, installation, servicing, and support of industrial machinery and related equipment.
By placing an order, issuing a purchase order, making advance or full payment, accepting a quotation or proforma invoice, accepting a tax invoice, taking delivery of machinery, or using the machinery, the buyer confirms that these Terms and Conditions have been read, understood, and accepted in full and shall be legally binding under the laws of India.
Acceptance of payment, delivery, installation, or operational use shall constitute unconditional acceptance of these terms.

2. Scope and Applicability
These Terms apply to all transactions involving:

• installation and servicing

• tax invoices

These Terms form an integral part of every machinery sale transaction.

3. Master Website Terms and Priority of Documents
The Terms and Conditions published on the official website shall constitute the Master Terms governing all machinery sales and commercial transactions.
The final tax invoice, quotation, and proforma invoice shall be read together with the website Terms and Conditions, and in case of any inconsistency, the website Terms and Conditions shall prevail unless expressly modified in writing in the final tax invoice.
By placing an order, making payment, or accepting delivery, the buyer confirms acceptance of the website Terms and Conditions as binding contractual terms.
No verbal statement, marketing material, catalogue, email, or informal commitment shall override these Terms unless expressly stated in the final tax invoice.

4. Nature of Industrial Machinery
The machinery supplied is industrial and custom-manufactured based on technical understanding and commercial specifications.
The buyer acknowledges that:
• machinery is industrial equipment
• machinery is not a consumer product
• machinery is manufactured as per technical requirements
• suitability of machinery is evaluated by the buyer before purchase
All machinery is supplied strictly for industrial and commercial use.

5. Custom Manufacturing and Non-Returnable Goods
Industrial machinery is custom-built and manufactured as per commercial and technical requirements.
Accordingly:
• goods once sold shall not be returned
• machinery shall not be replaced
• refund shall not be applicable
• order cancellation after manufacturing shall not be permitted
• advance payments shall be non-refundable
All sales shall be treated as final commercial transactions.

6. Buyer Due Diligence
The buyer is responsible for:
• verifying specifications
• checking production capacity
• ensuring electrical compatibility
• ensuring space and installation conditions
• arranging trained operators
• evaluating operational suitability
The supplier shall not be responsible for mismatch of expectations after delivery.

7. Order Confirmation and Payment Terms
Orders shall be considered confirmed upon:
• advance payment

Payments once made shall not be reversed except where required by law.
Delay in payment may result in suspension of production, dispatch, or service and may lead to recovery proceedings.

Delivery shall be considered complete upon dispatch or handover to transporter.

9. Transportation and Risk Transfer
Machinery shall travel at buyer’s risk unless otherwise agreed in writing.
Transit damage must be claimed from transporter or insurance provider.

10. Installation and Operational Acceptance
Installation and trial are conducted only to demonstrate basic operational functionality.
Completion of installation shall be treated as acceptance of machinery condition and performance.
Trial does not constitute performance or production guarantee.

11. Service Support and Operational Assistance
Technical support may be provided through remote assistance, technician visits, or paid service depending on site conditions, payment status, and operational environment.
Service timelines are indicative and not guaranteed.

12. Commercial Supply Framework and Exclusion of Implied Warranty
Industrial machinery supplied under commercial contract shall be governed strictly by express terms mentioned in the final tax invoice and related commercial documentation.
Except where expressly stated in writing in the final tax invoice, machinery is supplied on a commercial industrial basis without implied representations, warranties, or guarantees including fitness for particular purpose, uninterrupted operation, production assurance, merchantability, or lifecycle guarantee.
Any technical guidance, installation support, or operational assistance shall not create warranty or refund obligations.
Operational wear, electrical fluctuations, operator handling, site conditions, environmental factors, raw material variation, or third-party intervention shall remain outside supplier responsibility.
Support, if provided, shall remain discretionary and conditional.

13. Operator and Site Responsibility
Buyer must ensure trained operators, proper electrical supply, safe working environment, and correct usage.
Improper operation voids support obligations.

14. Misuse, Damage, or Unauthorized Modification
Supplier shall not be responsible for:
• misuse
• overloading
• broken parts
• tampering
• unauthorized repair
• third-party modification
• electrical damage
Repairs in such cases shall be chargeable.

15. Fraudulent Claims or Intentional Damage
Intentional damage, false complaints, or refund pressure after operational use may result in rejection of claims, stoppage of service, and legal action for recovery of losses.

16. Staff Safety and Workplace Conduct
Abuse, threats, intimidation, or unsafe environment may result in withdrawal of engineers and suspension of service.
Staff safety shall take precedence over commercial obligations.

17. Limitation of Liability
Supplier shall not be liable for business loss, production loss, profit loss, or indirect damages.
Total liability shall not exceed machinery value.

18. Force Majeure
Supplier shall not be responsible for delays due to natural disasters, transport issues, government restrictions, or external circumstances.

19. Jurisdiction and Governing Law
These Terms shall be governed by laws of India.
All disputes shall be subject to exclusive jurisdiction of courts in Punjab.
